These Terms & Conditions (“Terms”) explain the rules for using the FixPrep website and for requesting or using our Amazon FBA prep, e-commerce fulfilment, storage, returns and related logistics services.

By accessing our website, requesting a quote, sending inventory to us or using our services, you confirm that you have read, understood and agreed to these Terms. If you do not agree, please do not use our website or services.

1. Who we are

FixPrep provides Amazon FBA prep, e-commerce fulfilment and related support services for sellers and online businesses. We are an independent service provider and are not owned, operated or endorsed by Amazon.

2. Business use only

Our services are intended for business customers, including Amazon sellers, e-commerce sellers, brands, wholesalers and agencies. By using our services, you confirm that you are acting in the course of business and that you have authority to enter into these Terms on behalf of your business or organisation.

3. Definitions

Client, you or your means the business using our services. Services means any prep, inspection, labelling, bundling, packaging, storage, shipment creation, order fulfilment, returns or related work we agree to provide. Goods or inventory means products, cartons, pallets or other items sent to, stored at or handled by FixPrep. Facility means our warehouse or any other location we notify to you in writing. Working days means Monday to Friday, excluding UK public holidays.

4. Our services

Our services may include receiving inventory, inspection, FNSKU labelling, relabelling, poly bagging, bubble wrapping, bundling, kitting, packaging, carton preparation, shipment creation, order picking and packing, returns handling, storage, product photography and custom prep projects.

The specific services provided to you are those shown on our website, in our pricing calculator, in a quote, or explicitly agreed with us in writing. Service availability, turnaround times and pricing may vary depending on product type, volume, marketplace requirements, stock condition and any special handling requested.

Unless we expressly agree otherwise in writing, we act only as a prep, fulfilment and logistics service provider. We are not the importer of record for your goods and we are not a UK Responsible Person, authorised representative or product compliance representative for cosmetics, medical, electrical, safety-regulated or other regulated products.

5. Onboarding, access and communication

You agree to provide accurate business details, contact information, inventory information, SKU details, quantities, labels, shipping plans, packaging requirements and deadlines. Where we create or manage shipments for you, you must provide the access, labels or instructions needed for us to complete the work.

If you use Amazon Seller Central or another marketplace account, that account remains under your control and responsibility. Listing issues, account restrictions, suppressed listings, shipment errors caused by incomplete information, and marketplace policy decisions remain your responsibility unless directly caused by our negligence.

6. Prohibited use of our address

This is a critical term. Our Facility address is provided only for shipping, receiving and handling inventory connected with our prep and fulfilment services. You may use our Facility address only as a ship-to, ship-from or delivery address for goods being processed through FixPrep, unless we give separate written agreement for another limited use.

6.1 Strictly prohibited uses

You must not use our Facility address, or any variation of it, as your registered office, trading address, principal place of business, PPOB, virtual office, Amazon Seller Central business address, eBay or marketplace business address, Companies House address, HMRC address, VAT registration address, return address, food premises registration, licence address, permit address, certificate address or any other address that suggests you are based at, operating from or occupying our Facility, unless we have given clear written agreement for that specific purpose.

6.2 No desk rental, virtual office or PPOB services

We do not provide desk rental, office space, virtual office, mail forwarding, registered office, trading address or principal place of business (PPOB) services. Any request for such use will be refused.

6.3 Consequences of breach

If you breach this section, we may immediately suspend or terminate services, require you to remove our address from all records, report unauthorised use to relevant platforms or authorities, and recover any losses, costs or damages caused by the breach.

7. Product eligibility and limits

You must ensure that goods sent to us are lawful, genuine, safe, correctly described and suitable for the marketplace or sales channel where you intend to sell them. You must not send restricted, unsafe, counterfeit, stolen, illegal, perishable, contaminated, misdeclared or hazardous goods unless we have agreed in writing that we can handle them and all legal and carrier requirements have been met.

7.1 Prohibited and pre-approval goods

You must not send medicines, prescription products, controlled goods, illegal goods, dangerous goods, hazardous materials, weapons, counterfeit goods, recalled products or goods that require specialist licences or handling. Food, supplements, cosmetics, personal care products, chemical products, batteries, electrical safety-regulated products and other regulated goods must be disclosed and pre-approved by us in writing before delivery.

We may refuse, pause or return goods that are unsuitable, unsafe, non-compliant, misdeclared, unexpectedly complex, or outside the scope we agreed with you.

8. Quotes, pricing and payment

Quotes are based on the information you provide, including product type, quantity, service requirements and expected volume. If the actual work differs from the information provided, we may update the quote before continuing.

Prices may be shown as per-unit, per-order, storage, project-based or custom quote rates. Prices may change from time to time, but confirmed work will normally follow the agreed quote unless the scope changes.

Invoices must be paid by the due date shown. If payment is overdue, we may pause prep, storage, dispatch or release of stock until payment is brought up to date. We may also charge interest and compensation on overdue business debts where permitted by law.

9. Storage policy

9.1 Short operational holds

Short operational holds may occur where goods arrive for normal prep and dispatch but remain at our Facility briefly due to processing schedules, shipment grouping, missing information or short-term listing corrections.

9.2 Chargeable storage

Storage fees may apply where inventory is held for an extended period, where you ask us to hold stock for later dispatch, or where processing is delayed because instructions, labels, payment or marketplace readiness are missing. Storage rates will be shown on our website, pricing page, calculator or quote, or agreed with you separately.

9.3 Long-term, unpaid or abandoned inventory

If invoices remain unpaid or we cannot obtain instructions for your goods after reasonable attempts, we may hold the goods until debts are paid. After giving reasonable notice, we may arrange return, sale, recycling or disposal of goods where permitted by law. Any sale proceeds may be used to cover outstanding invoices, storage, handling, disposal and reasonable recovery costs, with any remaining balance returned to you where reasonably possible.

10. Processing times and delays

Any turnaround times shown on our website or provided in a quote are estimates unless we confirm otherwise in writing. We will aim to process work promptly, but delays may occur due to stock condition, missing information, carrier issues, marketplace rules, peak periods, payment delays, access issues or events outside our control.

11. Client responsibilities and insurance

You are responsible for providing accurate information, maintaining valid marketplace listings, complying with applicable laws and marketplace policies, ensuring products are genuine and safe, and keeping invoices, product documentation, tax records and compliance documents where required.

You are responsible for customs, import/export requirements, duties, VAT, EORI registration, product compliance, labelling compliance, Amazon and marketplace compliance, safety documentation, product claims, category approvals and any required licences, registrations or responsible-person arrangements.

Our insurance covers our own premises, operations and liabilities. It does not automatically insure your goods for their full value. You are responsible for maintaining adequate cargo, stock, product, business property or similar insurance covering your inventory while in transit to us, while stored or handled by us, and while in onward transit to any marketplace, customer, carrier or destination.

12. Working with your own labels

We can work with labels, barcodes, shipment documents and instructions supplied by you. If supplied labels or documents are incorrect, incomplete, late, unclear or cause extra handling, we may pause work or charge for the additional time required, after discussing this with you where practical.

13. Shipping, carriers and marketplaces

Where we help create shipments, prepare consignments or dispatch goods, carrier delivery times and marketplace acceptance decisions are outside our direct control. We are not responsible for carrier delays, lost carrier parcels, marketplace receiving delays, marketplace policy changes or decisions made by Amazon, eBay, Etsy, Shopify, TikTok Shop or any other third party.

14. Returns and special handling

Returns, rework, damaged stock checks, repackaging and special handling projects are handled case by case. We may refuse to resell, repackage, store or dispatch goods that appear damaged, unsafe, incomplete, contaminated, misdeclared or unsuitable for resale.

15. Loss, damage and limitation of liability

If goods are lost or damaged while in our custody directly due to our negligence, our liability is limited to the documented cost price of the affected goods, not the retail price, projected sale price, profit, ranking value, goodwill or future opportunity. We may require supplier invoices, purchase records or other proof of cost before assessing any claim.

Unless we agree a higher value in writing before receiving the goods, our liability for any single unit is limited to £100. We are not liable for indirect, special or consequential losses, including lost profit, lost revenue, marketplace penalties, account suspension, loss of ranking, loss of opportunity or reputational damage.

We are not liable for loss or damage caused by third-party carriers, suppliers, Amazon or other marketplaces, customer returns, incorrect client instructions, prohibited goods, inadequate packaging supplied to us, force majeure events, or issues that existed before the goods reached our Facility.

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

16. Cancellations and changes

You should contact us as soon as possible if you want to cancel or change a request. If work has already started, stock has been received or costs have already been incurred, reasonable charges may apply for work completed, storage, materials, carrier costs or other direct costs.

17. Calculator and website information

Any calculator, pricing guide, service description or website content is provided for general guidance only. Calculator results are estimates and do not create a fixed quote or final invoice amount. We try to keep website information accurate and up to date, but we do not guarantee that all content will always be complete, current or error-free.

18. Website use and prohibited activity

You must not misuse our website, attempt to disrupt it, introduce malware, scrape it excessively, copy our content without permission, submit false or misleading information, collect personal data from others, interfere with security features, or use the website for unlawful, harmful or misleading purposes.

19. Intellectual property

The FixPrep name, website design, text, graphics, logos and other website content belong to us or our licensors. You may view and use the website for normal business enquiry purposes, but you must not copy, reproduce, sell or exploit our content, internal tools, documents, workflows or frameworks without written permission.

20. Third-party links and tools

Our website may include links to third-party websites, platforms, carriers or tools. We are not responsible for the content, availability, security, pricing, policies or actions of third-party websites or services.

21. Personal information and confidentiality

How we collect and use personal data is explained in our Privacy Policy. Business information, stock data, pricing, account access and operational information shared between us should be treated as confidential unless it is already public or disclosure is required by law, a marketplace, a carrier or a relevant authority.

22. Indemnity

You agree to indemnify and hold FixPrep harmless from claims, losses, damages, costs, penalties or expenses arising from your breach of these Terms, unlawful or non-compliant goods, incorrect instructions, breach of marketplace policies, misuse of our Facility address, infringement of third-party rights, or failure to maintain suitable insurance.

23. Suspension and termination

We may suspend, restrict or terminate services if invoices are overdue, you breach these Terms, you misuse our address, you send unsafe or prohibited goods, we reasonably suspect unlawful activity, or continuing the relationship creates operational, legal or reputational risk.

You may stop using our services by paying all outstanding invoices and arranging collection, return or disposal of remaining goods, subject to any storage charges, handling charges or rights we have over unpaid goods.

24. Events outside our control

We will not be responsible for delays or failures caused by events outside our reasonable control, including carrier disruption, marketplace outages, severe weather, fire, flood, power failure, supplier issues, labour disruption, government action, cyber incidents or other unexpected events.

25. Changes to these Terms

We may update these Terms from time to time. The latest version will be published on this page with an updated “Last updated” date. Your continued use of our website or services after changes are published means you accept the updated Terms.

26. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction over disputes, unless applicable law gives you the right to bring a claim elsewhere.
